Terms & Conditions

Last Updated and Effective: October 26, 2026

1. Acceptance of These Terms

These Terms and Conditions (“Terms”) are between you and Sauer Brands, Inc. d/b/a Duke’s Mayo Company and its subsidiaries and affiliates (collectively, the “Company,” “we,” “us,” or “our”). They apply to every website the Company owns or controls that links to these Terms (each, a “Site”). The Sites include sauerbrands.com, sauers.com, dukesmayo.com, dukesmayofoodservice.com, mateos.com, kernelseasons.com, dukescountry.com, and dukesmayocompany.com. They also apply to your interactions with our official social media accounts, alongside the platform’s own terms.

You agree to these Terms by using a Site, or by submitting a form next to a notice that refers to these Terms. If you do not agree, do not use the Sites.

Please read Section 17 carefully. It requires individual arbitration of disputes and waives class actions. You may opt out as described in Section 17(i).

2. Privacy

Our Privacy Policy describes how we handle personal information, including through cookies and our store locator. If these Terms conflict with it on a privacy matter, the Privacy Policy controls.

3. Electronic Communications

You agree that notices we provide electronically satisfy any requirement that they be in writing.

4. Eligibility

The Sites are intended for U.S. users and are not directed to children under 13.

5. Ownership and Limited License

The Company or its licensors own the Sites and all content on them (“Content”). Sauer Brands, Sauer’s, Duke’s, Mateo’s, Kernel Season’s, and related names, logos, and trade dress are Company trademarks. You may view and print Content for personal, non-commercial use only. Any other use requires our written permission.

6. Product Information, Allergens, and Recipes

Product information on the Sites, including ingredients, nutrition, and allergen statements, is for general reference. It may not reflect the product in your hands, because formulas and packaging change. Always read the package label before use. If you have a food allergy or dietary restriction, rely on the label and contact us with questions. Recipes and nutrition content are not medical or dietary advice. Product images are for illustration.

7. Store Locator

Store locator results come from retailers and other third parties. We do not guarantee availability or pricing at any location.

8. Third-Party Sites and Purchases

Purchases on linked third-party sites, including online retailers and our merchandise store, are between you and that third party. Its terms govern payment, shipping, returns, and refunds. We are not responsible for third-party sites. For product quality questions, contact Consumer Information at 888-723-0052 or consumer-information@dukesmayo.com.

9. Careers

Nothing on the Sites is an offer of employment. The Privacy Policy covers information you submit in job applications.

10. Submissions

If you send us comments, recipes, photos, or other material (“Submissions”), you grant the Company a non-exclusive, worldwide, royalty-free, perpetual, sublicensable license to use them in any media. We have no obligation to keep Submissions confidential or to pay for them. You represent that you have the right to grant this license. Nothing in these Terms restricts your right to post honest reviews or other lawful statements about the Company or its products.

11. Social Media

We may remove content from our social media accounts that violates Section 12. We will not use your social media posts in advertising without your permission.

12. Acceptable Use

You will not use the Sites or our social media accounts to: (a) post unlawful, defamatory, obscene, harassing, or threatening material; (b) infringe anyone’s intellectual property, privacy, or publicity rights; (c) transmit harmful code or interfere with the Sites; (d) scrape or collect Content by automated means, including to train AI models; (e) impersonate anyone; or (f) send spam.

13. Promotions

Promotions may have official rules. Those rules control for that promotion, but Section 17 governs disputes unless the rules expressly say otherwise.

14. Disclaimer of Warranties

THE SITES AND CONTENT ARE PROVIDED “AS IS.” TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES ABOUT THE SITES AND CONTENT, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THIS SECTION DOES NOT AFFECT ANY WARRANTY THAT APPLIES BY LAW TO A PRODUCT YOU BUY FROM A RETAILER.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITES. ITS TOTAL LIABILITY FOR ALL SUCH CLAIMS WILL NOT EXCEED $100. NOTHING IN THESE TERMS LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT, OR FOR ANY LIABILITY THAT CANNOT BE LIMITED BY LAW.

16. Indemnification

You will indemnify the Company against third-party claims arising from your breach of these Terms, your Submissions, or your violation of law.

17. Dispute Resolution; Arbitration; Class Action Waiver

(a) Informal Resolution. Before starting arbitration, send the other party a written notice describing the claim. Notices to us go to Duke’s Mayo Company, Attn: Legal Department, Box 27366, Richmond, VA 23232-9998, or to consumer-information@dukesmayo.com with “Legal Notice” in the subject line. The parties will try to resolve the claim for 60 days, and limitations periods are tolled during that time.

(b) Agreement to Arbitrate. Except as stated in Section 17(c), you and the Company will resolve any dispute relating to the Sites or these Terms by binding individual arbitration. The Federal Arbitration Act governs this Section 17.

(c) Exceptions. Either party may bring an individual claim in small claims court or seek court relief for intellectual property misuse. If the law does not allow a request for public injunctive relief to be arbitrated, that request will proceed in court. The court case will be stayed until the individual arbitration ends.

(d) Rules. The American Arbitration Association (“AAA”) will administer the arbitration under its Consumer Arbitration Rules and, where applicable, its Mass Arbitration Supplementary Rules. Hearings will take place in your county of residence or by video, at your election.

(e) Fees. The Company will pay arbitration fees as the AAA rules require, within the time required by law.

(f) Delegation. The arbitrator decides questions of scope, validity, and enforceability of this Section 17. However, a court decides the enforceability of Sections 17(c), (g), and (h).

(g) Class Action and Jury Waiver. YOU AND THE COMPANY MAY BRING CLAIMS ONLY INDIVIDUALLY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.

(h) Mass Arbitration. If the same or coordinated counsel files 25 or more similar demands, the AAA will group them into batches of up to 100. All batches proceed at the same time, with one arbitrator and one set of fees per batch. No award has precedential effect in another batch. Limitations periods are tolled while demands await batching.

(i) 30-Day Opt-Out. You may opt out of this Section 17 by sending notice, with your name and a statement that you opt out, to the address or email in Section 17(a). You must send it within 30 days after you first agree to these Terms.

(j) Severability. If Section 17(g) is unenforceable for a claim, that claim proceeds in court and not in class arbitration. The rest of this Section 17 remains in effect.

(k) Changes. Material changes to this Section 17 will not apply to claims already noticed. You may reject a change by notice within 30 days.

(l) Venue. Claims that proceed in court, other than small claims, will be brought in the state or federal courts in Richmond, Virginia.

18. Governing Law

Virginia law governs these Terms. The Federal Arbitration Act governs Section 17.

19. Changes

We may change the Sites or these Terms. Updated Terms will show a new effective date. For material changes, we will give reasonable notice on the Sites. Changes apply only going forward, and continued use after a change takes effect means you accept it.

20. Suspension

We may suspend your access for violating these Terms. Sections 5, 10, and 14 through 17 survive any suspension or termination.

21. International Use

The Sites are operated from the United States. You are responsible for complying with local laws if you access them from elsewhere.

22. General

If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We may assign these Terms. You may not assign them without our consent.
